1. Introduction
Welcome to Payments Clarity (“Payments Clarity,” “we,” “our,” or “us”). These Terms and Conditions govern your access to and use of the Payments Clarity website, services, communications, and business-matching assistance.
Payments Clarity operates as a payment solutions intermediary, connecting businesses and merchants with third-party payment service providers, acquiring institutions, payment gateways, and other payment technology providers based on their business requirements, transaction profiles, operational needs, and risk categories.
We assist businesses across a range of risk profiles, including low-risk, medium-risk, and high-risk merchant categories, subject to applicable laws, provider eligibility requirements, and compliance standards.
By accessing our website, submitting an enquiry, or engaging with our services, you acknowledge that you have read and understood these Terms and Conditions. If you do not agree with these terms, please discontinue using our website and services.
2. Nature of Our Services
Payments Clarity helps businesses identify and connect with potentially suitable payment processing partners. Our services may include:
- Understanding a merchant's business model and payment processing requirements.
- Assessing general payment acceptance needs, including transaction volume, geographic coverage, currencies, and settlement preferences.
- Identifying potentially suitable payment service providers.
- Facilitating introductions and communications between merchants and payment providers.
- Assisting with the coordination of provider enquiries and application processes.
- Providing general information about available payment processing solutions.
- Helping merchants explore alternative payment arrangements when their requirements are not met by a particular provider.
The specific services available will depend on the merchant's requirements and the arrangements Payments Clarity has with relevant third parties. Payments Clarity's role is to facilitate suitable business connections, not to guarantee payment processing approval or the availability of any particular service.
3. Independent Intermediary and Third-Party Providers
Payments Clarity works with or refers merchants to independent third-party service providers. These may include payment processors, acquiring banks, payment gateways, payment facilitators, financial technology companies, and other relevant service providers.
Unless expressly agreed in a separate written agreement, Payments Clarity does not itself:
- Provide banking services.
- Issue payment cards.
- Operate a payment network.
- Act as the merchant's acquiring bank.
- Hold, pool, receive, or settle merchant funds.
- Guarantee transaction authorisation or settlement.
- Control the internal underwriting or approval decisions of third-party providers.
The actual role of Payments Clarity in any arrangement will depend on the services it performs and its contractual relationships. Each third-party provider operates under its own contractual terms, eligibility requirements, pricing structure, risk policies, and applicable regulatory obligations. Merchants should review and understand the terms of the relevant provider before entering into an agreement.
4. Merchant Eligibility and Business Categories
Payments Clarity may consider enquiries from businesses operating in various sectors and risk categories. The suitability of a merchant depends on factors including:
- Business model and products or services offered.
- Countries in which the business operates.
- Customer locations and target markets.
- Expected transaction volumes and average transaction values.
- Chargeback, refund, and fraud exposure.
- Business history and operational maturity.
- Ownership and corporate structure.
- Availability of appropriate business documentation.
- Applicable laws and the third-party provider's acceptance policies.
High-risk classification does not automatically mean that a business is unlawful or ineligible for payment processing. However, certain industries may require enhanced due diligence, additional documentation, specialised underwriting, or providers that expressly accept the relevant business model.
Payments Clarity does not assist with obtaining payment processing for unlawful activities or circumventing a provider's compliance requirements. We reserve the right to decline, discontinue, or redirect an enquiry where the business model, information supplied, or proposed activities raise legal, regulatory, compliance, or reputational concerns.
5. Merchant Information and Due Diligence
Merchants agree to provide accurate, complete, and up-to-date information when submitting an enquiry or participating in a provider application. Depending on the circumstances, requested information may include:
- Legal business name and registration details.
- Ownership and beneficial ownership information.
- Business website and product descriptions.
- Details of the goods or services being sold.
- Operating countries and customer markets.
- Expected processing volume and average transaction value.
- Refund, cancellation, and chargeback policies.
- Relevant licences, permits, or regulatory approvals.
- Identity and business verification documents requested by a provider.
Merchants must promptly disclose material changes to their business activities that could affect eligibility or compliance. Providing information to Payments Clarity does not automatically mean that the information has been accepted or approved by a payment provider. Third-party providers may conduct their own verification, underwriting, sanctions screening, risk assessment, and ongoing monitoring.
Payments Clarity may decline to make an introduction or may discontinue assistance if information appears materially inaccurate, incomplete, misleading, or inconsistent with applicable requirements.
6. No Guarantee of Approval or Processing
Payments Clarity aims to help businesses identify payment processing solutions that may suit their needs. However, we do not guarantee:
- Approval of a merchant account.
- Acceptance by any particular acquiring bank or payment processor.
- Successful completion of underwriting or verification.
- A specific processing rate or transaction fee.
- Approval for a particular transaction volume.
- Guaranteed settlement timelines.
- A particular authorisation rate or conversion rate.
- Permanent access to payment processing services.
- Freedom from reserves, rolling reserves, settlement delays, transaction limits, or account reviews.
All approvals and commercial terms remain subject to the relevant provider's policies, risk appetite, due diligence, contractual terms, and applicable laws. A provider may decline an application or modify, suspend, or terminate its services in accordance with its contractual arrangements.
7. Fees and Commercial Arrangements
Any fees payable to Payments Clarity, referral charges, consultancy fees, or other commercial arrangements will be communicated separately where applicable. Payment processing fees, setup charges, monthly fees, transaction charges, chargeback fees, reserve requirements, and other provider-related costs are determined by the relevant third-party provider.
Unless expressly agreed in writing, Payments Clarity does not control or guarantee the pricing offered by third parties. Merchants should obtain written confirmation of applicable fees and commercial conditions before committing to a payment processing arrangement. No fee, commission, or commercial entitlement should be assumed unless it has been expressly agreed between the relevant parties.
8. Merchant Responsibilities
Merchants are responsible for ensuring that their business activities comply with applicable laws and the contractual requirements of their payment providers. This includes, where applicable:
- Maintaining accurate business and ownership records.
- Obtaining necessary licences and approvals.
- Offering lawful products and services.
- Maintaining transparent pricing and billing practices.
- Publishing appropriate refund, cancellation, shipping, and customer support policies.
- Securing customer information.
- Monitoring fraud and suspicious transactions.
- Managing chargebacks and customer disputes.
- Providing truthful information during underwriting.
- Disclosing material changes to the business.
- Complying with applicable payment card security requirements.
Merchants must not misrepresent their products, processing volumes, ownership, operating locations, customer markets, or business activities. Merchants must not use an approved payment arrangement to process transactions for an undisclosed business, prohibited activity, or materially different business model without the relevant provider's approval.
9. Prohibited and Unlawful Activities
Payments Clarity does not knowingly facilitate payment processing for illegal activities, fraudulent schemes, sanctions evasion, money laundering, terrorist financing, deceptive billing practices, or other unlawful conduct.
Businesses operating in regulated or restricted sectors may be considered only where the relevant activities are lawful and the proposed provider is permitted to support them. Merchants must not request assistance to conceal prohibited transactions, evade due diligence, falsify documentation, bypass sanctions, or circumvent a payment provider's risk controls.
We may suspend or decline assistance if there are reasonable grounds to suspect unlawful conduct, material misrepresentation, or a violation of applicable compliance requirements. Where required by law, relevant information may be disclosed to appropriate authorities or other authorised parties.
10. Third-Party Websites and Services
Our website or communications may contain links to, or information about, third-party websites, platforms, and payment providers. Payments Clarity does not control the content, availability, security, commercial terms, or privacy practices of independent third parties.
The inclusion of a provider or service does not constitute a guarantee of its performance, regulatory status, suitability, or continued availability. Merchants should conduct their own due diligence and review the
relevant third-party agreements before proceeding.
11. Intellectual Property
Unless otherwise stated, the content on the Payments Clarity website, including text, branding, graphics, designs, and original materials, is owned by or licensed to Payments Clarity. You may access and use this content for legitimate informational and business purposes.
You must not reproduce, distribute, modify, republish, or commercially exploit website content without prior written permission, except where permitted by applicable law. Third-party trademarks and logos remain the property of their respective owners.
12. Website Availability and Acceptable Use
We aim to maintain a functional and accessible website but do not guarantee uninterrupted or error-free availability. We may update, modify, restrict, or discontinue any part of the website when reasonably necessary.
You must not:
- Attempt unauthorised access to our systems.
- Interfere with website security or functionality.
- Introduce malicious software.
- Submit fraudulent or misleading enquiries.
- Use the website for unlawful purposes.
- Collect information from our website through unauthorised automated means.
We may restrict access where necessary to protect our systems, users, or legitimate business interests.
13. Limitation of Liability
To the extent permitted by applicable law, Payments Clarity will not be liable for indirect, incidental, special, punitive, or consequential losses arising from the use of our website or intermediary services.
This includes losses resulting from a payment provider declining an application; suspension or termination of a merchant account by a third party; transaction declines or payment failures; settlement delays or reserves imposed by a provider; changes in third-party fees or policies; business interruptions caused by third-party systems; unauthorised actions or failures of independent providers; or inaccurate information supplied by a merchant or third party.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud or other matters for which applicable law prohibits exclusion. Any further limitation of liability under a separate written agreement will apply only to the extent legally enforceable.
14. Indemnification
To the extent permitted by applicable law, you agree to indemnify Payments Clarity against reasonable losses, liabilities, and expenses arising from your unlawful conduct, material misrepresentation, breach of these Terms and Conditions, or infringement of third-party rights. This provision does not apply to the extent a loss results from conduct for which Payments Clarity is legally responsible and which cannot lawfully be excluded.
15. Privacy and Data Protection
Your use of our website and services is also governed by our Privacy Policy and Data Protection Policy. By submitting information through our website or communicating with us, you acknowledge that your information may be handled as described in those policies and applicable law. Where consent or another specific legal basis is required for a particular processing activity, we will rely on the appropriate basis.
16. Suspension and Termination
Payments Clarity may discontinue its assistance or restrict access to its website where reasonably necessary because of suspected fraud, inaccurate information, compliance concerns, unlawful activity, security risks, or a breach of these terms.
Merchants may stop using our services at any time, subject to any separate written agreement. Termination of our assistance does not automatically terminate an agreement between a merchant and an independent payment provider.
17. Changes to These Terms
We may update these Terms and Conditions to reflect changes in our services, business operations, technology, or legal requirements. The revised version will be published on our website with an updated revision date. Where required by law or contract, we will provide additional notice or obtain consent.
18. Governing Law and Disputes
These Terms and Conditions are subject to the laws applicable to Payments Clarity's contracting legal entity and the relevant transaction. The applicable jurisdiction, dispute resolution procedure, and competent courts should be specified in the final version based on the company's registered legal entity, operating structure, and contractual arrangements. Nothing in this clause limits any mandatory rights or remedies available under applicable law.
